1. Agreement to Terms

Welcome to Growzip! These Terms of Service ("Terms") constitute a legally binding agreement between you and Growzip Inc. ("Growzip," "we," "us," or "our") governing your access to and use of the Growzip mobile application, website, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

2. Eligibility

You must be at least 18 years old to use our Services. By using Growzip, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You will comply with these Terms and all applicable laws
• All information you provide is accurate, current, and complete

3. Account Registration

Growzip provides a platform to connect users with restaurants and delivery partners for food ordering and delivery services. You may use our Services only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Conduct

You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Impersonate any person or entity
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to our systems
• Transmit viruses, malware, or harmful code
• Scrape, crawl, or use automated means to access the Services
• Harass, abuse, or harm other users, restaurants, or delivery partners
• Submit false or fraudulent orders
• Use the Services for commercial purposes without our permission

5. Orders and Payment

5.1 Placing Orders

When you place an order through Growzip, you are making an offer to purchase food items from the restaurant. Orders are subject to acceptance by the restaurant. We reserve the right to refuse or cancel any order for any reason.

5.2 Pricing

All prices displayed are in USD (or local currency). Prices may include:

• Food item costs
• Delivery fees
• Service fees
• Applicable taxes
• Tips (optional)

Prices are subject to change without notice. The final price will be displayed before you confirm your order.

5.3 Payment

You agree to pay all charges incurred through your account. Payment is processed at the time of order placement. We accept major credit cards, debit cards, and other payment methods as indicated in the app. Payment processing is handled by third-party providers, and you agree to their terms.

5.4 Refunds and Cancellations

Order cancellation is subject to restaurant and delivery partner availability. Refunds are processed according to our Refund Policy. We may issue refunds for:

• Cancelled orders (before preparation begins)
• Missing or incorrect items
• Damaged or poor-quality food
• Excessive delivery delays

6. Delivery Services

Delivery times are estimates and may vary based on restaurant preparation time, delivery partner availability, traffic, and weather conditions. We are not responsible for delays beyond our control.

You must be available to receive your delivery at the specified address. If you are unavailable after reasonable attempts to contact you, the order may be marked as delivered, and no refund will be issued.

7. Restaurant Partners

Growzip acts as a platform connecting users with independent restaurant partners. Restaurants are solely responsible for:

• Food preparation, quality, and safety
• Accurate menu listings and pricing
• Allergen information and dietary warnings
• Food handling and packaging
• Compliance with health and safety regulations

While we strive to work with reputable restaurants, we do not guarantee the quality, safety, or suitability of food items.

8. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, images, software, and design, are owned by Growzip or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

9. User Content

You may submit reviews, ratings, feedback, and other content ("User Content"). By submitting User Content, you grant Growzip a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content.

You represent that your User Content:

• Does not violate any laws or third-party rights
• Is accurate and truthful
• Does not contain offensive, defamatory, or harmful content

We reserve the right to remove any User Content that violates these Terms.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

Our Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

10.2 Limitation of Liability

To the maximum extent permitted by law, Growzip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising from:

• Your use or inability to use the Services
• Food quality, safety, or allergic reactions
• Delivery delays or errors
• Unauthorized access to your account
• Actions of restaurant or delivery partners

Our total liability shall not exceed the amount you paid for the specific order giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Growzip, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your User Content

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@growzip.com to attempt to resolve the dispute informally.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in San Francisco, California.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only, and you waive any right to participate in class actions or class-wide arbitration.

13. Termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, if you violate these Terms or engage in fraudulent or harmful conduct.

You may terminate your account at any time by contacting us at support@growzip.com. Upon termination, your right to use the Services will immediately cease.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the app and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Growzip regarding the use of our Services and supersede all prior agreements.
